Thanks Archna.  Now that we have reach some agreements, maybe we can plan the following steps:  

 

  1. Plan to form a new HBI (High Bandwidth Interface) workstream. 
    1. Need help to learn the process, but if appropriate, I can prepare a draft of the Scope and Charter of the workstream as a starting point.  
    2. I am hoping we can start this workstream in early 2020.

 

  1. If Dec 18th has 20 mins timeslot available, we can give a quick Introduction on the upcoming formation of “HBI workstream” so we can invite them to review the MP-NDA and CLA to join the workstream.  

 

  1. Prepare and circulate a MP-NDA template for interested members to start their Legal review  ( together with OpenWeb Foundation CLA ) .   
    1. I assume the details Archna and I discussed below will be incorporated into the MP-NDA, correct?

Thanks for the detailed replies in the document link below.   If we can start a new workstream as Bapi suggested, and each workstream will have its own MP-NDA, and OWF CLA and private email group and meetings setup, this will address most of the administrative concerns we have. 

 

One issue on the “OWF CLA” section about NDA and opt-out conditions:

 

  1. You mentioned in two separate situations :

 

1st one:

Above implies, even a member opt-out with proper notification before the expiration window (e.g., 45 days).  The confidential contribution will still be considered public after the OWFa Final Spec Agreement is signed à NDA terminate à the info becomes public?   It doesn’t seem right.

 

Our thoughts: If a member opt-out, the information shall be treated as if that member has never contributed the “confidential info” and the MP-NDA signees may keep the info but shall not share the information with any 3rd parties outside of the MP-NDA signees, even after the NDA term has expired.   That should be the purpose for “opt-out” process.

 

2nd :

    • AH: If your company takes longer than 45 days to opt-out, per the CLA terms, this is information (although under NDA) can be considered as contributed to the Spec. The Spec can use this contribution if needed. 
      • If the Spec uses this “confidential information”, then the member companies still need to sign OWFa Final Spec Agreement before the Spec can be released to OCP and the public.  When the OWFa is signed, the NDA relating to the release of “confidential information” should terminate.
      • If the Spec does not use  “confidential information”, then the member companies still need to sign OWFa Final Spec Agreement before the Spec can be released to OCP and the public BUT the NDA should still be in effect for the member companies until the  “confidential information” is made public or the NDA term has expired.

 

The blue highlight texts above make sense as it protects the unused “confidential information” until NDA term has expired and not by OWFa Final Spec Agreement signed.

 

Please advise your thoughts.  The rest look OK.
